Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Billbop platform, including our web and mobile applications (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.


1. Account Registration

You must be 18 or older to create an account. You are responsible for providing accurate registration information, maintaining the security of your credentials, and all activity that occurs under your account. Notify us immediately of any unauthorized access. If your account was provided by your organization, that organization may manage, suspend, or cancel it.

You retain ownership of all data, inventory records, documents, and other content you submit to the Service ("Content"). By using the Service, you grant Billbop a limited license to store and process your Content solely to provide the Service. You are responsible for ensuring your Content does not include sensitive personal data (e.g., government IDs, financial credentials, health information, or data pertaining to minors) without our prior written consent.

Any feedback, suggestions, or feature requests you submit may be used by Billbop without compensation or attribution.


4. Data Security

Billbop implements commercially reasonable measures to protect your Content. However, you are responsible for maintaining your own backups. We are not liable for data loss, sync errors across devices, or security incidents attributable to third-party providers or your own devices. No method of electronic storage is 100% secure.

You are solely responsible for verifying that the Service meets any regulatory, legal, or compliance requirements applicable to your business or industry.


5. Subscriptions and Payment

Billbop offers subscription plans based on service tier. Pricing is not per-user; SKU limits apply to protect platform integrity. Exceptions to SKU limits may be granted on request.

Billbop does not require payment until your organization is fully onboarded, including data migration and operational confirmation. Once billing begins, fees are due in advance for each billing period (monthly or annual). All fees are non-refundable unless required by law. We may change fees with at least 30 days' written notice. You are responsible for all applicable taxes.

Subscriptions renew automatically unless cancelled before the end of the current billing period. To cancel, contact us at admin@billbop.com.


6. Intellectual Property

The Service, including all software, designs, trademarks, and related materials, is owned by Billbop and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription term. You may not copy, modify, reverse engineer, or sublicense any part of the Service.


7. Confidentiality

Each party agrees to treat the other's confidential information with at least the same care it applies to its own, and to use it only in connection with the Service. Confidential information does not include information that is publicly known, independently developed, or received from a third party without restriction.


8. Termination

You may cancel your account at any time. Cancellation takes effect at the end of your current billing period; no partial refunds are issued.

Billbop may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or if continued service becomes unlawful. Prior to termination, you may request a copy of your Content. After termination, we have no obligation to retain it.


9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Billbop does not warrant that the Service will be uninterrupted, error-free, or secure.


10. Limitation of Liability

To the fullest extent permitted by law, Billbop shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Billbop's total cumulative liability to you shall not exceed the greater of: (a) fees paid by you in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless Billbop and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or any Content you submit.


12. Governing Law

These Terms are governed by the laws of the United States and the state in which Billbop is incorporated, without regard to conflict of law provisions. Disputes that cannot be resolved through good-faith negotiation within 30 days will be submitted to binding arbitration under the rules of the American Arbitration Association. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property.


13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated at least 30 days in advance via email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.


14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Billbop regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent. Billbop may assign these Terms freely, including in connection with a merger or acquisition.
